These Terms of Use constitute a legal agreement between ECI and you. Your use of this Website, data, software, or applications provided to you on, from, or through the Website by ECI is subject to these Terms of Use. However, all products and services provided by ECI to you shall be subject to the terms and conditions of the relevant product or services agreement, which you will sign with ECI as and when you decide to purchase a product or service from ECI. You are also responsible for ensuring that all persons who use our Website through your network are aware of and comply with these Terms of Use, and any other applicable terms and conditions.

You agree that we may change or revise these Terms of Use from time to time by updating this page and that such changes or revision will take effect immediately upon our posting, so please visit this area each time you visit the Website to keep up to date with the current Terms of Use. Your continuous use of the Website reaffirms your continuing agreement to the then-current Terms of Use.

You should not use the Website or accept the Terms of Use if (a) you are under 21 years of age, or (b) you are legally prohibited from using or accessing the Website under the laws of the UAE or the country in which you operate.

ECI reserves the right in its sole discretion to modify or discontinue the Website or specific portions of it without notice to you. We will not be liable if for any reason our Website is unavailable at any time or for any period. We will endeavour to resume the Website access at the earliest possible. The parties can agree to use alternative methods of communication to continue their cooperation until the Website becomes available.

Subject to applicable laws within the UAE, we reserve the right to suspend or terminate your access to the Website and/or the services without notice for failure to comply with the Terms of Use, for infringing copyright or any other intellectual property right, or for any other reason (including repeat minor offences). The decision to terminate your or your Representative’s access to the Website or the services shall be final and binding. 

You must not do any act that we would deem to be inappropriate, is unlawful or is prohibited by any laws applicable to our Website, including but not limited to:

• any act that would constitute a breach of privacy (including uploading private or personal information without an individual's consent) or any other legal rights of individuals;
• using our Website in any manner that infringes any intellectual property rights of any person;
• using our Website to defame, libel or otherwise harm the reputation of, our employees, the UAE, its rulers and royal family or any other persons;
• knowingly introduce viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful;
• gaining or attempting to gain unauthorised access to our Website, the server on which our Website is stored, or any server, computer or database connected to our Website;
• attacking or attempting to attack our Website via a denial-of-service attack or a distributed denial-of service attack; 
• attempting to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of our Website; or
• posting or transmitting to this Website any non-authorised material including, but not limited to, material that is, in our opinion, likely to cause annoyance, or which is defamatory, racist, obscene, threatening, pornographic, contrary to law or public morals in the UAE or otherwise or which is detrimental to or in violation of our systems or a third party's systems or network security. 

If we allow you to post any information to our Website, we have the right to take down this information at our sole discretion and without notice.

We will report any such breach to the relevant authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Website will cease immediately.

If you are required to register, ECI will ask you to provide information which is personal to you, such as your name, address, email address, contact numbers etc.

As part of the registration process, you may be asked to select a username and password. You and your Representative shall be responsible for all activities occurring under your username and for keeping your password secure. You must not disclose it to any third party. If you become aware of any breach of security or unauthorised use of your username or password, you must notify ECI immediately by sending email to support@eci.gov.ae.You agree to provide accurate and complete information when registering and using the Website and the services provided by us, and you agree to keep your information up to date. You agree that ECI may store and use your information for the purposes envisaged under these Terms of Use as well as for providing the services to you.

ECI has implemented and will endeavor to put in place secure systems for transmission of information through the Website and to protect the security and privacy of User Submissions (as defined below) as well as the information you provide, applications and forms. However, you acknowledge that the security of internet communication can never been guaranteed and that ECI shall not be responsible for any loss you may suffer due to the interception of communication, breach of security, or other unauthorized use or access to your information and/or documents.

In connection with User Submissions, you represent and warrant that:

1. you will not submit any User Submission that is subject to any right of a third party including, without limitation:
   • copyright, patent, trade mark, trade secret, or other proprietary or contractual right;
   • right of privacy; or
   • confidential information: unless you are the owner of such rights or have permission from the rightful owner(s) to submit the User Submissions and to grant the rights herein;
2. neither the User Submissions, nor the use of the User Submissions as permitted in these Terms of Use, will infringe upon or violate the rights of any person or entity or any applicable laws;
3. you will not submit User Submissions that are unlawful for you to possess in the UAE, or which it would be unlawful for ECI to use or possess in connection with the access to the Website or the provision of the services;
4. the information you and/or your Representative provide through the Website is accurate, correct, and complete at the time of submission and you undertake to update same as and when a change occurs to such information; and
5. the Representative is duly authorized to bind you and any agreement or consent signed or given by the Representative represent a binding and enforceable commitment.

You understand and agree that you are solely responsible for your own User Submissions and the consequences of your posting or publishing them.

With the exception of User Submissions, ECI owns the intellectual property rights for all of the materials on the Website or has a valid right from a third party to use materials on the Website. ECI also owns or has a valid right to use all trademarks, service marks, graphics and logos used on this Website. 

You must not use any part of the content on our Website for commercial purposes without obtaining a licence to do so from us or our licensors. ECI grants you a single, non-exclusive, limited personal licence to access and use the Website for non-commercial purposes subject to your continued compliance with these Terms. You may not transfer or share your right to access or use the Website.

Applicable law may not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations or exclusions may not apply to you. However, in no event shall ECI’s total liability to you for damages, losses, and causes of action whether in contract, tort (including, negligence) or otherwise exceed the amount paid by you, if any, for accessing the Website or the services.

Any refund of premiums paid shall be subject to the terms and conditions of the relevant policy. Please refer to the policy wording in this regard.

You hereby agree to defend, indemnify and hold ECI, its officers, agents and employees harmless from and against any and all claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses, including reasonable legal fees, relating to or arising out of your use of the Website, any use of your User Submissions as permitted in these Terms of Use, and/or any breach or alleged breach of any of your warranties, representations or agreements hereunder.

The Terms of Use are and shall remain effective until terminated. You may terminate these Terms of Use by ceasing to use theWebsite and destroying any and all material obtained by you from the Website. We may immediately terminate the Terms of Use, including your access to the Website, if you breach or fail to comply with any material term or provision of the Terms of Use. Upon termination, you must discontinue use of the Website and destroyany and all material obtained by you from the Website.

This Website may provide a help file or other instructions for the use of this site. However, you understand that ECI is under no obligation to provide any support for the use of the Website.

These Terms of Use and any disputes arising under or related to these Terms of Use (whether in contract, tort (including negligence), statute or otherwise) will be governed by the laws of the UAE. Any legal actions, suits or proceedings arising out of these Terms of Use (whether in contract, tort (including negligence), statute or otherwise) will be brought exclusively in the competent court of the UAE and you hereby accept and submit to the exclusive jurisdiction of these courts with respect to any legal actions, suits or proceedings arising out of these Terms of Use.

These Terms of Use and the documents referred to or incorporated in them constitute the entire agreement between ECI and you relating to the subject matter of these Terms of Use and supersede and extinguish any prior drafts, agreements, undertakings, representations, warranties and arrangements of any nature whatsoever, whether or not in writing, between us and you in relation to the subject matter of these Terms of Use.

If any provision of these Terms of Use shall be found to be unlawful, void, or for any reason unenforceable, then such provisionshall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.

No failure on the part of ECI to enforce any part of these Terms of Use shall constitute a waiver of any of ECI's rights under these Terms of Use whether for past or future actions on the part of any person.

The paragraph titles in these Terms of Use are for convenience only and have no legal or contractual effect.

These Terms of Use are published in English and Arabic for convenience. The Arabic language shall be the binding and controlling language for all matters relating to the meaning or interpretation of these Terms of Use.
